We provide business services including (but not limited to) compliance setup, business credit development guidance, and related consulting. All services are designed to assist businesses in establishing credibility, preparing for funding, and maintaining compliance. We do not provide financial, legal, or tax advice. Results are not guaranteed and may vary based on each client’s circumstances.

2. Payment Terms

• All fees must be paid in full by the invoice due date according to the plan selected by the client.
• No interest or hidden fees are charged; however, failure to complete payments on time will result in immediate suspension of services until payment is brought current.
• Payments are non-refundable once services have commenced.
• Chargeback attempts without prior written notice to us will be considered a breach of these Terms and may result in immediate termination of Services and legal action.

3. Client Responsibilities

• Clients must provide accurate, truthful, and complete information necessary for the delivery of services.
• We are not responsible for delays or outcomes caused by incomplete, inaccurate, or false information provided by the client.
• Clients must comply with all applicable laws, regulations, and reporting requirements related to the Services.

4. Confidentiality & Non-Disclosure

All proprietary information, business strategies, training materials, pricing structures, templates, or other non-public content provided by us is confidential and may not be disclosed, copied, or distributed to any third party without our prior written consent. Breach of this clause may result in legal action, injunctive relief, and financial damages.

5. Estimates & Delivery

All service timeframes are estimates and not guarantees. Actual delivery timelines may vary depending on external factors outside our control. Delays caused by client inaction, missing information, or third-party dependencies are not our responsibility.

6. Credit Reporting Consent

We may, at our sole discretion and subject to applicable bureau requirements, report client payment history to one or more business credit bureaus once reporting capabilities are available and your account meets all necessary eligibility criteria. If and when such reporting begins, timely payments may help build your business credit profile, and late or missed payments may negatively impact it.

7. Limitations of Liability

• We make every effort to provide accurate, up-to-date information and to perform services ethically.
• We do not accept liability for any damages, losses, or claims resulting from misuse, misunderstanding, or misapplication of our guidance or services.
• To the fullest extent permitted by law, we are not responsible for any indirect, incidental, special, or consequential damages.
• In no event shall our total liability exceed the total amount paid by you for the Services in the preceding 90 days.

9. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be attempted to be resolved informally by contacting us at info@ekmsolutions.org. If not resolved within 30 days, disputes shall be settled by binding arbitration in Horry County, South Carolina, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to conflict of law principles.

11. Changes to Terms

We reserve the right to update or modify these Terms at any time without prior notice. Continued use of our Services constitutes acceptance of the updated Terms.

We reserve the right to suspend, restrict, or terminate your access to our Services at our sole discretion if we believe you have violated these Terms, our Privacy Policy, or applicable laws. Any such termination shall not relieve you of any payment obligations incurred before termination.
